;This study investigates the relationship between managerial ability and the tone of Management’s Discussion and Analysis (MD&A), as well as the market consequences of MD&A tone. Based on prior literature, three hypotheses are developed. First, managerial ability is positively associated with MD&A tone. Second, managerial ability positively moderates the association between MD&A tone and market liquidity. Third, managerial ability significantly moderates the association between MD&A tone and the cost of equity capital. Using a sample of U.S. firms, the empirical results show that managerial ability is positively related to MD&A tone, suggesting that more capable managers tend to adopt a more certain tone in MD&A disclosures. The findings further indicate that managerial ability plays a significant moderating role in the relationship between MD&A tone and capital market outcomes. Specifically, higher managerial ability strengthens the positive effect of MD&A tone on market liquidity and influences the association between MD&A tone and the cost of equity capital. Overall, this study provides additional evidence on the role of managerial ability in corporate disclosure. Managers with greater ability may use a more certain tone in MD&A because they possess stronger professional judgment and better access to firm-specific information. Moreover, managerial ability shapes the market effects of MD&A tone, as reflected in greater market liquidity and lower cost of equity capital. These findings underscore the importance of managerial ability in financial disclosure and market responses, and offer implications for disclosure practice and investor evaluation.
