;The shareholders′ meeting souvenir system has long been a distinctive feature of the practice of publicly listed companies in Taiwan. However, the system did not originate from any explicit provisions of the Company Act or the Securities and Exchange Act. Instead, it gradually evolved in response to practical business needs, including increasing shareholders′ meeting attendance, encouraging shareholder participation, and maintaining investor relations. Through its long-term development, the distribution of shareholders′ meeting souvenirs has become an integral part of Taiwan′s shareholders′ meeting culture and has developed a close relationship with the proxy solicitation market, quorum requirements for shareholders′ meetings, and shareholder participation mechanisms. In recent years, however, the widespread adoption of electronic voting, the implementation of the Taiwan Depository & Clearing Corporation (TDCC) eVoting system and the eGift mechanism, the gradual establishment of virtual shareholders′ meetings, and the continuous promotion of corporate governance and sustainable development policies have transformed the role of the shareholders′ meeting souvenir system. Rather than remaining merely an incidental benefit provided by companies to shareholders, the system has become increasingly intertwined with shareholder participation, the proxy solicitation market, corporate governance, and digital transformation, thereby giving rise to important legal issues concerning shareholder equality, the use of corporate resources, fair competition, and corporate governance.
This study first examines the historical development, institutional background, and legal nature of the shareholders′ meeting souvenir system, analyzes its interaction with the proxy solicitation market, and further explores whether the system constitutes part of shareholders′ rights, whether it should be characterized as a civil-law gift, and how it relates to directors′ fiduciary duties and the proper use of corporate resources. It then adopts digital transformation, corporate governance, and the evolution of shareholder participation as its principal analytical framework to examine the impact of electronic voting, virtual shareholders′ meetings, the eGift mechanism, and ESG-oriented corporate governance on the shareholders′ meeting souvenir system. Particular attention is given to the gradual transformation of the system from a traditional attendance incentive into a governance mechanism that promotes shareholder participation under a digital environment.
From a comparative law perspective, this study focuses on Japan′s shareholder benefit (Kabunushi Yutai) system by examining its institutional characteristics, legal framework, and experience with digital reform. It further analyzes the influence of Japan′s electronic voting system, electronic notice delivery system, and virtual shareholders′ meeting system on shareholder benefits, with a view to providing useful references for future institutional reform in Taiwan. Based on the foregoing analysis, this study argues that the shareholders′ meeting souvenir system originated from corporate autonomy and practical business considerations, and has not been legally recognized as an integral component of shareholders′ rights. Nevertheless, once the system substantially affects shareholder participation, the proxy solicitation market, corporate governance, and the principle of shareholder equality, it becomes necessary to establish minimum regulatory standards and governance principles in order to balance corporate autonomy with market order. Accordingly, future reforms should accommodate corporate autonomy, shareholder participation, and corporate governance needs through enhanced information disclosure, fair distribution principles, digital souvenir mechanisms, hybrid shareholder participation models, and corporate governance best practices. Rather than advocating the abolition of the shareholders′ meeting souvenir system, this study contends that it should evolve in response to digital transformation and the continuing development of corporate governance. Through institutional reform, digital mechanisms, and governance measures, the system can gradually transform from a traditional attendance incentive into a governance instrument that enhances shareholder participation, improves corporate governance, and supports sustainable corporate development.
