    摘要: 本研究主要探討國家治理及公司治理之間的對應與連結,依據現代公司治理與管理學相關理論,利用中國唐朝兩大盛世-貞觀之治與開元之治當案例與現代公司治理之情形對照。研究結果發現: (1) 領導人人格特質和國家、公司治理有關聯;(2) 領導人用人要知人善任且用人唯才,將團隊交給有相同目標及有志、有德、有識的人手上;(3) 組織若長期同一人領導而領導人後期鬆懈或決策錯誤將影響國力與公司經營績效。本研究之管理意涵為:(1) 國家、公司領導人必須以身作則,自我要求努力政事才能創造優秀的經營成果;(2) 領導人帶領團隊需知人善任,對於經理人(代理人)之選擇,決定國家、公司的經營與續存結果;(3) 領導人長期領導,後期易發生衰敗,若自身未警惕與察覺,國家、企業易陷入困境導致滅亡,經營成果將付諸東流。(4) 企業接班必須及早佈局,否則影響其永續經營。;This study examines the comparison and connection between national governance and corporate governance. Based on the relevant theories of modern corporate governance and management, the two prosperous times of the Tang Dynasty in China, Reign of Zhen-guan, and Reign of Kai-yuan are used as a case study to be compared with the modern corporate governance of the modern companies. The results show that (1) the personality traits of leaders are related to the performance of national and corporate governance; comparing with the population of historical records, it is found that the prosperous times of the dynasty was outstanding in the population due to the national peace and security while; troubled times caused a sharp decline in population and in national power; (2) Leaders need to hand over the administration of an organization to the people with the same goals and aspirations, virtues, and knowledge, then the performance of the organization would be stronger than the leaders who only aggressively focus on their self-interests.
    (3) If the organization is ruled by the same leader for a very long time, in later time period the leader would turn undisciplined and make wrong decisions, thereby harming the organization’s performance or even causing a crisis. The managerial implications of this study are: (1) The leaders of a country/company must set a good example, be self-discipline and hard-working to pursue goals and create for all stakeholders of the organization .(2) Leaders have to find the right people to manage the organization. It is closely related to the prosperity and performance of the organization. (3) A long-term leader could erode an organization’s competitiveness, leading to survival crisis. (4) The succession of enterprises must be arranged as earlier as possible; otherwise the sustainability would be undermined.
